FILM BITE, INC.

CONTENT SUBMISSION AGREEMENT & TERMS OF SERVICE

Effective Date: March 31, 2026

Welcome to Film Bite, Inc. (“Film Bite,” “we,” “us,” or “our”), a Wyoming corporation with a principal business address at 1332 Hermosa Avenue, Suite 14, Hermosa Beach, CA 90254.

These Content Submission Terms of Service (“Terms”) govern your access to and use of Film Bite’s platform and services (the “Platform”), including the upload, submission, distribution, and monetization of audiovisual content.

By uploading or submitting any content, you (“Creator,” “you,” or “Licensor”) agree to be legally bound by these Terms.

1. ACCEPTANCE OF TERMS (CLICKWRAP ENFORCEMENT)

By clicking “I Agree,” uploading Content, or otherwise using the Platform, you:

  • Acknowledge that you have read and understood these Terms
  • Agree to be legally bound by them
  • Represent that you are at least 18 years of age and legally capable of entering into this Agreement

If you do not agree, do not use the Platform.

2. CONTENT SUBMISSION & LICENSE GRANT

By submitting Content, you grant Film Bite a:

Non-exclusive, worldwide, sublicensable, transferable, royalty-bearing license to:

  • Host, store, reproduce, distribute, publicly perform, display, and exploit your Content
  • Edit, encode, transcode, reformat (including vertical formatting), and create excerpts
  • Use your Content for marketing, advertising, promotion, and platform growth
  • Sublicense Content to third-party platforms, distributors, and partners

This license is subject to the Distribution Agreement terms where applicable.

3. PLATFORM DISTRIBUTION RIGHTS

You expressly authorize Film Bite to:

  • Upload and distribute your Content on third-party platforms (including but not limited to TikTok, Instagram, YouTube, OTT platforms, FAST channels)
  • Use Film Bite-owned or controlled accounts for distribution
  • Enable features such as sharing, embedding, remixing, or platform-native interactivity

You acknowledge:

  • Platforms may alter, remove, or demonetize Content
  • Film Bite does not control third-party algorithms or policies

4. MONETIZATION & PAYMENTS

If your Content is accepted for monetization:

  • You will receive 40% of Net Sales, as defined in your Distribution Agreement
  • Payments are made within 75 days after the end of each calendar quarter
  • Minimum payout threshold: $250 USD
  • Balances below the threshold will accrue as account credit

No payments are guaranteed.

5. OPTIONAL PAID SERVICES

Film Bite may offer optional paid services, including:

  • Marketing campaigns
  • Featured placement
  • Paid advertising
  • Content optimization

These services are optional and require a separate agreement.

6. CONTENT REQUIREMENTS & DELIVERY

You agree that all submitted Content:

  • Meets Film Bite technical specifications
  • Is complete, cleared, and ready for distribution
  • Does not contain viruses, malware, or harmful code

Film Bite may reject, remove, or suspend Content at its sole discretion.

7. CREATOR REPRESENTATIONS & WARRANTIES (STRICT)

You represent and warrant that:

  • You own or control all rights in the Content
  • You have obtained all necessary:
    • Talent releases
    • Music licenses
    • Guild and union clearances
  • The Content does not:
    • Infringe intellectual property rights
    • Violate privacy or publicity rights
    • Contain defamatory or unlawful material

These warranties are ongoing and material.

8. PROHIBITED CONTENT

You may not upload Content that:

  • Violates any law or regulation
  • Infringes third-party rights
  • Contains hate speech, unlawful content, or explicit prohibited material (subject to platform standards)
  • Violates platform partner guidelines

Film Bite reserves the right to remove such Content immediately.

9. AI, DATA & PLATFORM OPTIMIZATION

You agree that Film Bite may:

  • Use automated tools to analyze, tag, and optimize Content
  • Generate thumbnails, captions, clips, and metadata
  • Use performance data for internal analytics

Optional Expanded Protection:
Film Bite may use Content for machine learning and algorithmic optimization, provided such use is internal and not a standalone commercial resale.

10. ACCOUNT & SECURITY

You are responsible for:

  • Maintaining account confidentiality
  • All activity under your account

Film Bite is not liable for unauthorized access.

11. TERMINATION & CONTENT REMOVAL

11.1 By You

You may request removal of Content or terminate your account with 30 days written notice.

11.2 By Film Bite

Film Bite may suspend or terminate access immediately if:

  • You breach these Terms
  • Legal or platform risk is identified
  • Required by third-party platforms

11.3 Post-Termination

  • Content may remain live for up to 90 days for wind-down
  • Accrued payments remain payable

12. INDEMNIFICATION (MAXIMUM PROTECTION)

You agree to defend, indemnify, and hold harmless Film Bite and its:

  • Officers, directors, employees
  • Contractors, affiliates, partners
  • Distribution platforms

from any claims, damages, liabilities, costs, and expenses (including attorneys’ fees) arising from:

  • Your Content
  • Breach of these Terms
  • IP infringement
  • Talent, guild, or music disputes

This obligation survives termination indefinitely.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • Film Bite shall not be liable for:
    • Indirect, incidental, or consequential damages
    • Loss of revenue, profits, or opportunities
    • Platform actions (removal, demonetization, suppression)
  • Maximum liability shall not exceed:
    • The amount paid to you, or
    • $1,000 USD (whichever is less)

14. DISCLAIMER OF WARRANTIES

The Platform is provided “AS IS” and “AS AVAILABLE.”

Film Bite makes no guarantees regarding:

  • Revenue
  • Distribution success
  • Platform placement

15. GOVERNING LAW

These Terms are governed by the laws of the State of California.

16. DISPUTE RESOLUTION & ARBITRATION

  • Binding arbitration in Los Angeles County, California
  • Under American Arbitration Association (AAA) rules
  • No class actions permitted
  • An arbitrator may award attorneys’ fees

17. WAIVER OF JURY TRIAL

You waive any right to trial by jury.

18. INJUNCTIVE RELIEF

Film Bite may seek injunctive relief in court for:

  • Intellectual property violations
  • Unauthorized use of the Platform

19. ASSIGNMENT

Film Bite may freely assign these Terms.
You may not assign without written consent.

20. MODIFICATIONS TO TERMS

Film Bite may update these Terms at any time. Continued use constitutes acceptance.

21. ENTIRE AGREEMENT

These Terms, together with any Distribution Agreement, constitute the entire agreement.
