(\u201c<b>Film Bite<\/b>,\u201d \u201c<b>we<\/b>,\u201d \u201c<b>us<\/b>,\u201d or \u201c<b>our<\/b>\u201d), a Wyoming corporation with a principal business address at 1332 Hermosa Avenue, Suite 14, Hermosa Beach, CA 90254.<\/p>\n<p>These Content Submission Terms of Service (\u201c<b>Terms<\/b>\u201d) govern your access to and use of Film Bite\u2019s platform and services (the \u201c<b>Platform<\/b>\u201d), including the upload, submission, distribution, and monetization of audiovisual content.<\/p>\n<p>By uploading or submitting any content, you (\u201c<b>Creator<\/b>,\u201d \u201c<b>you<\/b>,\u201d or \u201c<b>Licensor<\/b>\u201d) agree to be legally bound by these Terms.<\/p>\n<p><b>1. ACCEPTANCE OF TERMS (CLICKWRAP ENFORCEMENT)<\/b><\/p>\n<p>By clicking \u201cI Agree,\u201d uploading Content, or otherwise using the Platform, you:<\/p>\n<ul>\n<li>Acknowledge that you have read and understood these Terms<\/li>\n<li>Agree to be legally bound by them<\/li>\n<li>Represent that you are at least 18 years of age and legally capable of entering into this Agreement<\/li>\n<\/ul>\n<p>If you do not agree, do not use the Platform.<\/p>\n<p><b>2. CONTENT SUBMISSION &amp; LICENSE GRANT<\/b><\/p>\n<p>By submitting Content, you grant Film Bite a:<\/p>\n<p><b>Non-exclusive, worldwide, sublicensable, transferable, royalty-bearing license<\/b> to:<\/p>\n<ul>\n<li>Host, store, reproduce, distribute, publicly perform, display, and exploit your Content<\/li>\n<li>Edit, encode, transcode, reformat (including vertical formatting), and create excerpts<\/li>\n<li>Use your Content for marketing, advertising, promotion, and platform growth<\/li>\n<li>Sublicense Content to third-party platforms, distributors, and partners<\/li>\n<\/ul>\n<p>This license is subject to the <b>Distribution Agreement terms<\/b> where applicable.<\/p>\n<p><b>3. PLATFORM DISTRIBUTION RIGHTS<\/b><\/p>\n<p>You expressly authorize Film Bite to:<\/p>\n<ul>\n<li>Upload and distribute your Content on third-party platforms (including but not limited to TikTok, Instagram, YouTube, OTT platforms, FAST channels)<\/li>\n<li>Use Film Bite-owned or controlled accounts for distribution<\/li>\n<li>Enable features such as sharing, embedding, remixing, or platform-native interactivity<\/li>\n<\/ul>\n<p>You acknowledge:<\/p>\n<ul>\n<li>Platforms may alter, remove, or demonetize Content<\/li>\n<li>Film Bite does not control third-party algorithms or policies<\/li>\n<\/ul>\n<p><b>4. MONETIZATION &amp; PAYMENTS<\/b><\/p>\n<p>If your Content is accepted for monetization:<\/p>\n<ul>\n<li>You will receive <b>40% of Net Sales<\/b>, as defined in your Distribution Agreement<\/li>\n<li>Payments are made <b>within 75 days after the end of each calendar quarter<\/b><b><\/b><\/li>\n<li>Minimum payout threshold: <b>$250 USD<\/b><b><\/b><\/li>\n<li>Balances below the threshold will accrue as account credit<\/li>\n<\/ul>\n<p>No payments are guaranteed.<\/p>\n<p><b>5. OPTIONAL PAID SERVICES<\/b><\/p>\n<p>Film Bite may offer optional paid services, including:<\/p>\n<ul>\n<li>Marketing campaigns<\/li>\n<li>Featured placement<\/li>\n<li>Paid advertising<\/li>\n<li>Content optimization<\/li>\n<\/ul>\n<p>These services are <b>optional<\/b> and require a separate agreement.<\/p>\n<p><b>6. CONTENT REQUIREMENTS &amp; DELIVERY<\/b><\/p>\n<p>You agree that all submitted Content:<\/p>\n<ul>\n<li>Meets Film Bite technical specifications<\/li>\n<li>Is complete, cleared, and ready for distribution<\/li>\n<li>Does not contain viruses, malware, or harmful code<\/li>\n<\/ul>\n<p>Film Bite may reject, remove, or suspend Content at its sole discretion.<\/p>\n<p><b>7. CREATOR REPRESENTATIONS &amp; WARRANTIES (STRICT)<\/b><\/p>\n<p>You represent and warrant that:<\/p>\n<ul>\n<li>You own or control all rights in the Content<\/li>\n<li>You have obtained all necessary:\n<ul>\n<li>Talent releases<\/li>\n<li>Music licenses<\/li>\n<li>Guild and union clearances<\/li>\n<\/ul>\n<\/li>\n<li>The Content does not:\n<ul>\n<li>Infringe intellectual property rights<\/li>\n<li>Violate privacy or publicity rights<\/li>\n<li>Contain defamatory or unlawful material<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p>These warranties are ongoing and material.<\/p>\n<p><b>8. PROHIBITED CONTENT<\/b><\/p>\n<p>You may not upload Content that:<\/p>\n<ul>\n<li>Violates any law or regulation<\/li>\n<li>Infringes third-party rights<\/li>\n<li>Contains hate speech, unlawful content, or explicit prohibited material (subject to platform standards)<\/li>\n<li>Violates platform partner guidelines<\/li>\n<\/ul>\n<p>Film Bite reserves the right to remove such Content immediately.<\/p>\n<p><b>9. AI, DATA &amp; PLATFORM OPTIMIZATION<\/b><\/p>\n<p>You agree that Film Bite may:<\/p>\n<ul>\n<li>Use automated tools to analyze, tag, and optimize Content<\/li>\n<li>Generate thumbnails, captions, clips, and metadata<\/li>\n<li>Use performance data for internal analytics<\/li>\n<\/ul>\n<p><b>Optional Expanded Protection:<\/b><br \/>\nFilm Bite may use Content for <b>machine learning and algorithmic optimization<\/b>, provided such use is internal and not a standalone commercial resale.<\/p>\n<p><b>10. ACCOUNT &amp; SECURITY<\/b><\/p>\n<p>You are responsible for:<\/p>\n<ul>\n<li>Maintaining account confidentiality<\/li>\n<li>All activity under your account<\/li>\n<\/ul>\n<p>Film Bite is not liable for unauthorized access.<\/p>\n<p><b>11. TERMINATION &amp; CONTENT REMOVAL<\/b><\/p>\n<p><b>11.1 By You<\/b><\/p>\n<p>You may request removal of Content or terminate your account with <b>30 days written notice<\/b>.<\/p>\n<p><b>11.2 By Film Bite<\/b><\/p>\n<p>Film Bite may suspend or terminate access immediately if:<\/p>\n<ul>\n<li>You breach these Terms<\/li>\n<li>Legal or platform risk is identified<\/li>\n<li>Required by third-party platforms<\/li>\n<\/ul>\n<p><b>11.3 Post-Termination<\/b><\/p>\n<ul>\n<li>Content may remain live for up to <b>90 days for wind-down<\/b><b><\/b><\/li>\n<li>Accrued payments remain payable<\/li>\n<\/ul>\n<p><b>12. INDEMNIFICATION (MAXIMUM PROTECTION)<\/b><\/p>\n<p>You agree to <b>defend, indemnify, and hold harmless<\/b> Film Bite and its:<\/p>\n<ul>\n<li>Officers, directors, employees<\/li>\n<li>Contractors, affiliates, partners<\/li>\n<li>Distribution platforms<\/li>\n<\/ul>\n<p>from any claims, damages, liabilities, costs, and expenses (including attorneys\u2019 fees) arising from:<\/p>\n<ul>\n<li>Your Content<\/li>\n<li>Breach of these Terms<\/li>\n<li>IP infringement<\/li>\n<li>Talent, guild, or music disputes<\/li>\n<\/ul>\n<p>This obligation survives termination indefinitely.<\/p>\n<p><b>13. LIMITATION OF LIABILITY<\/b><\/p>\n<p>To the fullest extent permitted by law:<\/p>\n<ul>\n<li>Film Bite shall not be liable for:\n<ul>\n<li>Indirect, incidental, or consequential damages<\/li>\n<li>Loss of revenue, profits, or opportunities<\/li>\n<li>Platform actions (removal, demonetization, suppression)<\/li>\n<\/ul>\n<\/li>\n<li>Maximum liability shall not exceed:\n<ul>\n<li>The amount paid to you, or<\/li>\n<li>$1,000 USD (whichever is less)<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><b>14. DISCLAIMER OF WARRANTIES<\/b><\/p>\n<p>The Platform is provided <b>\u201cAS IS\u201d and \u201cAS AVAILABLE.\u201d<\/b><b><\/b><\/p>\n<p>Film Bite makes no guarantees regarding:<\/p>\n<ul>\n<li>Revenue<\/li>\n<li>Distribution success<\/li>\n<li>Platform placement<\/li>\n<\/ul>\n<p><b>15. GOVERNING LAW<\/b><\/p>\n<p>These Terms are governed by the laws of the <b>State of California<\/b>.<\/p>\n<p><b>16. DISPUTE RESOLUTION &amp; ARBITRATION<\/b><\/p>\n<ul>\n<li>Binding arbitration in <b>Los Angeles County, California<\/b><b><\/b><\/li>\n<li>Under <b>American Arbitration Association (AAA)<\/b> rules<\/li>\n<li>No class actions permitted<\/li>\n<li>An arbitrator may award attorneys\u2019 fees<\/li>\n<\/ul>\n<p><b>17. WAIVER OF JURY TRIAL<\/b><\/p>\n<p>You waive any right to trial by jury.<\/p>\n<p><b>18. INJUNCTIVE RELIEF<\/b><\/p>\n<p>Film Bite may seek injunctive relief in court for:<\/p>\n<ul>\n<li>Intellectual property violations<\/li>\n<li>Unauthorized use of the Platform<\/li>\n<\/ul>\n<p><b>19. ASSIGNMENT<\/b><\/p>\n<p>Film Bite may freely assign these Terms.<br \/>\nYou may not assign without written consent.<\/p>\n<p><b>20. MODIFICATIONS TO TERMS<\/b><\/p>\n<p>Film Bite may update these Terms at any time. Continued use constitutes acceptance.<\/p>\n<p><b>21. ENTIRE AGREEMENT<\/b><\/p>\n<p>These Terms, together with any Distribution Agreement, constitute the entire agreement.<\/p>\n<p><b>22.
